Spencer began his legal career as a litigator helping his clients navigate everything from a small $25,000 dispute to a complex, high-stakes $50 million finance dispute. While Spencer still litigates for his clients on occasion and is quite comfortable in the courtroom, he now spends most of his days helping his clients avoid legal trouble to begin with.

As a transactional attorney, Spencer specializes in mergers and acquisitions, as well as data privacy. He uses his experience as an entrepreneur and a former “IT guy,” together with his MBA from a top-40 business school, to advise his clients in business transactions and how to achieve and maintain compliance with the growing landscape of data privacy laws—all without losing sight of business objectives and economic sense. Spencer’s experience as an M&A attorney includes advising clients in the radio entertainment, healthcare, tourism, and outdoor recreation industries. Spencer has also developed an expertise on GDPR, CCPA, and the growing list of data privacy laws, including the Utah Consumer Privacy Act. Spencer and his transactional team regularly provide general business advice to all of his clients, which includes assisting them with business formation, contract review and preparing form contracts, regulatory compliance, corporate structure and governance issues, and more.

In the courtroom, Spencer’s experience includes complex commercial and real estate disputes, as well as white collar criminal defense. He’s managed civil cases with amounts in dispute ranging from $25,000 to $75 million. He’s also represented clients in white collar investigations involving actual or potential charges of securities fraud, wire fraud, tax fraud, and major fraud against the United States. Like John Adams, Spencer believes that every person who stands accused is entitled to a defense, and that good criminal defense lawyers are necessary to hold government to account. It is the honor of Spencer and his litigation team to defend clients to the best of their abilities when there’s a lot more than just money on the line.

When Spencer’s not burning the late-night oil helping his clients, he enjoys spending time with his wife and daughters, as well as working with his hands around the house on projects of all sizes, from hanging a picture to finishing a basement. Spencer is a Christian, politically conservative, and a proud member of the Federalist Society and the National Society of the Sons of the American Revolution.
